These Terms summarise your rights and obligations when using Strata Neighbourhood AI (the "Service"), operated by Parallel Data Intelligence Limited ("Parallel", "we"). Where your organisation (the "Customer") has signed a Strata Enterprise Licence with Parallel, that signed agreement supersedes anything below in case of conflict.
1. Use of the Service
Parallel grants the Customer a limited, non-exclusive, non-transferable, revocable licence for Authorised Users to use the Service in the United Kingdom, during the Licence Term, to inform decisions on public sector estate planning and service delivery. You may not use the Service to:
- Provide services to third parties or otherwise resell access.
- Build a product or service that competes with Strata Neighbourhood AI.
- Reverse-engineer, decompile, or otherwise reduce the Service to human-perceivable form, or attempt to access the source code.
- Share your sign-in credentials with anyone — each Authorised User must have their own account.
- Upload viruses, malware, or content that's unlawful, defamatory, or otherwise harmful.
- Identify, or attempt to identify, any individual from aggregated or pseudonymised data presented in the Service. Any onward use of figures or extracts must comply with the Freedom of Information Act 2000 and the Data Protection Act 2018.
2. Authorised Users
Each user must keep their password secure and confidential. We recommend changing your password at least every 6 months and never reusing it on other services. Multi-factor authentication is available in your profile area and we strongly recommend you enable it. The Service signals password strength on creation and prompts you to choose a stronger value where appropriate. You are responsible for the actions taken under your account.
The Customer is responsible for the accuracy of the user list and for promptly notifying Parallel when an Authorised User leaves the organisation or changes role. Admin users can revoke access at any time via the admin panel. Accounts inactive for more than 12 months may be deleted automatically.
3. Customer data
You retain all rights, title, and interest in workspace data you upload or create (templates, schemes, narratives, uploaded documents). Parallel processes that data only as necessary to provide the Service and per the Privacy Policy.
You warrant that data and documents you upload to the Service are accurate and complete and that you have the rights necessary to share them with Parallel. Parallel is not responsible for errors, omissions, or losses arising from inaccuracies in data you supply.
On termination of the licence you may request a backup of your Customer Data within 10 working days; we will deliver it within 30 days of receipt.
4. AI usage
The Service uses Anthropic's Claude AI to generate suggestions, narratives, summaries, and chat responses. By using the AI surfaces you agree that:
- AI outputs are suggestions for review, not authoritative statements. You are responsible for verifying any AI-drafted text before submission.
- You will not use the AI surface to attempt prompt injection, jailbreaks, or to extract proprietary system prompts.
- You will not upload documents whose primary purpose is to inject instructions into the AI (e.g. documents containing "ignore previous instructions" preambles).
- You will not use AI outputs to train, fine-tune, or benchmark competing models.
- Parallel may suspend access to the AI features if these terms are breached, without prejudice to other remedies.
Your data is not used to train AI models. Customer Data, prompts, and AI outputs are processed under Anthropic's zero-retention API terms and are not used by Anthropic or Parallel to train, fine-tune, or evaluate any model. Inputs and outputs are retained only as needed to operate the Service and to maintain the audit log described in clause 5.
AI usage is metered. Where an AI credit pool is included in your Fee Proposal, calls are deducted from that pool and access to the AI features may be paused when the pool is exhausted. Top-ups are arranged via your account manager.
5. Audit and monitoring
We log significant actions for security and accountability — sign-ins (success and failure), scheme creation and editing, AI suggestion approvals, role changes, and document uploads. These logs are visible to admin users within your ICB and are retained for 12 months. You consent to this logging by using the Service.
6. Service availability
We use commercially reasonable efforts to keep the Service available 24/7, with planned maintenance scheduled outside Normal Business Hours where possible. We'll notify you of unplanned outages affecting service performance. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or bugs, and we may suspend or restrict availability for business or operational reasons.
7. Charges, payment, and renewal
Licence fees are set out in your Fee Proposal. Invoices are payable within 30 days. Late payment may result in suspension of access and interest at 3% over the lender's base rate.
To continue access and data hosting beyond the end of the Licence Term, the Customer must notify Parallel at least 6 weeks before the end date and provide a renewed purchase order where required. Failure to do so may result in access being restricted or removed at the end of the term.
8. Intellectual property
Parallel and its licensors retain all intellectual-property rights in the Service, the software, and the brand assets. This Licence does not grant you any ownership of those rights or any right to access the Service in source code form.
9. Confidentiality
Each party agrees to keep the other's Confidential Information confidential and use it only for the purposes of this Licence. Customer Data is treated as Confidential Information.
10. Limitation of liability
Except for liability we cannot exclude by law (e.g. death/personal injury caused by negligence, fraud), our aggregate liability is limited to the Licence Fees paid for the Service. We are not liable for indirect, special, or consequential losses including lost profits, lost data, depleted goodwill, or pure economic loss.
You acknowledge that the Service has not been designed to support any regulated activity to which you may be subject (including, without limitation, online intermediation services, online search services, or services facilitating online interaction between users). If you use the Service in connection with any such regulated activity, you are responsible for compliance with the applicable regulatory requirements and you agree to indemnify Parallel against any loss, penalty, or cost (including legal fees) arising from your breach of those requirements.
11. Termination
Either party may terminate immediately for material breach (with 30 days to cure), insolvency, or non-payment 30 days beyond the due date. On termination all rights granted under this Licence cease, you must stop all use of the Service, and Customer Data is deleted after the 10-day backup window described in clause 3.
12. Force majeure
Neither party is liable for any failure or delay in performance caused by an event beyond its reasonable control, including failure of public or private telecommunications networks, acts of government, or industrial action. Affected obligations are suspended for the duration of the event, and we will use reasonable endeavours to mitigate the impact on the Service.
13. Third-party links and services
The Service may link to third-party websites or include published reference datasets owned by their respective publishers. We do not monitor the content of those sites and accept no responsibility for their availability or content. Reference datasets are provided as-is, and Parallel makes no representation as to their accuracy or completeness.
14. Publicity
Parallel may use the Customer's name and logo as a reference on its website and in marketing communications, subject to your trademark usage guidelines. We will not share sensitive information or Customer Data with third parties for this purpose. To opt out, email help@stratasoftware.net.
15. General
Assignment. You may not assign or transfer your rights under this Licence. Parallel may assign its rights to any group company or successor in business.
No waiver. A failure or delay by either party to enforce any right under this Licence does not waive that right.
Severability. If any provision of this Licence is held unenforceable, that provision will be modified to the minimum extent necessary and the remainder of the Licence will continue in full force.
Entire agreement. This Licence, together with the documents it references and (where signed) the Strata Enterprise Licence, constitutes the entire agreement between the parties regarding the Service and supersedes all prior agreements or representations on the same subject.
16. Governing law
These Terms are governed by the law of England and Wales. Disputes are subject to the exclusive jurisdiction of the English courts.
Changes to these terms
We may update these Terms to reflect changes in the Service or to comply with applicable law. Material changes are notified by email or in-app banner before they take effect. Continued use after the effective date constitutes acceptance.
